Terms of Service

These Terms of Service ("Terms") govern your use of Prun's Microsoft License optimization platform ("Service"). By using our Service, you agree to these Terms.
1. Service Description
What Prun Does
Prun is a Microsoft License optimization platform that:
- Analyzes your Microsoft 365 license usage and costs
- Identifies inactive users and unused licenses
- Provides recommendations for cost optimization
- Automates license adjustments with your approval
- Delivers analytics and reporting on license savings
Service Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.
2. Account Registration and Access
Eligibility
To use Prun, you must:
- Be at least 18 years old
- Have authority to bind your organization to these Terms
- Hold a valid Microsoft 365 subscription
- Provide accurate and complete registration information
Account Security
You are responsible for:
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Using strong, unique passwords and enabling 2FA when available
3. Microsoft 365 Integration
Required Permissions
To provide our services, Prun requires access to:
- User directory information and license assignments
- Microsoft 365 usage reports and analytics
- Subscription and billing information
- Application usage statistics
Your Responsibilities
- You must have administrative rights to grant necessary permissions
- You warrant that you have authority to connect your Microsoft tenant
- You remain responsible for your Microsoft 365 environment
- You can revoke Prun's access at any time through Azure AD
Microsoft Compliance
Our integration complies with Microsoft's partner requirements and their terms of service. We do not modify your Microsoft environment without explicit approval.
4. Pricing and Payment
Subscription Plans
- Free Trial: 14-day trial with full access (up to 100 licenses)
- Professional: $0.50 per license per month
- Enterprise: Custom pricing for large deployments
Billing Terms
- Subscription fees are billed monthly in advance
- License count is based on your active Microsoft 365 licenses
- Price changes require 30 days advance notice
- No refunds for partial months or unused portions
Payment Processing
- Payments processed securely through Stripe
- Automatic billing on your subscription renewal date
- Service may be suspended for non-payment after 7 days
- Account termination after 30 days of non-payment
5. Acceptable Use Policy
Permitted Use
You may use Prun only for:
- Legitimate business purposes
- Optimizing your own organization's Microsoft licenses
- Generating reports for internal use
- Complying with your organization's IT policies
Prohibited Activities
You may not:
- Reverse engineer, decompile, or disassemble our Service
- Use the Service to optimize licenses for other organizations
- Attempt to gain unauthorized access to our systems
- Share your account credentials with unauthorized parties
- Use the Service in violation of applicable laws
- Interfere with or disrupt our Service
6. Data and Privacy
Your Data
- You retain ownership of your Microsoft 365 data
- We process your data solely to provide optimization services
- We implement security measures to protect your information
- You can request data export or deletion at any time

- We may use aggregated, anonymized data to improve our Service
- We do not sell or share your personal or company data

7. Intellectual Property
Our Rights
- Prun owns all rights to our platform, algorithms, and technology
- Our trademarks and branding are protected intellectual property
- This license grants you limited use rights only
Your Rights
- You retain rights to your data and business information
- Reports and analytics generated belong to you
- You grant us limited rights to process your data for service delivery
8. Service Level Agreement
Availability Commitment
- Professional Plan: 99.5% monthly uptime
- Enterprise Plan: 99.9% monthly uptime with SLA credits
- Excludes scheduled maintenance and force majeure events
Support Response Times
- Professional: Email support within 24 hours
- Enterprise: Priority support within 4 hours
- Critical Issues: 1-hour response for Enterprise customers
9. Disclaimers and Limitation of Liability
Service Disclaimer
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

We are not affiliated with Microsoft Corporation. Microsoft, Office 365, and related trademarks are property of Microsoft Corporation.
Limitation of Liability
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Optimization Results
While we strive for accurate optimization recommendations, we cannot guarantee specific cost savings. Results depend on your Microsoft licensing and usage patterns.
10. Termination
Termination by You
- Cancel your subscription at any time through your account settings
- Service continues until the end of your current billing period
- You can request data export before termination
- No refunds for unused portions of prepaid subscriptions
Termination by Us
We may terminate your account for:
- Violation of these Terms or our Acceptable Use Policy
- Non-payment after the grace period
- Fraudulent or illegal activity
- Discontinuation of the Service (with 90 days notice)
Effect of Termination
- Your access to the Service ends immediately
- Your data will be retained for 90 days for potential reactivation
- After 90 days, your data will be permanently deleted
- Microsoft 365 permissions will be automatically revoked
11. Changes to Terms
We may modify these Terms to:
- Reflect changes in our Service or business practices
- Comply with legal or regulatory requirements
- Address security or technical issues
We will provide 30 days advance notice for material changes. Continued use of the Service constitutes acceptance of updated Terms.
12. Governing Law and Disputes
Governing Law
These Terms are governed by the laws of [Your Jurisdiction] without regard to conflict of law principles.
Dispute Resolution
- We encourage informal resolution through our support team
- Formal disputes may be resolved through binding arbitration
